1. Agreement to Terms
By accessing or using the Nomotic website at nomotic.ai, the Nomotic SDK, documentation, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
2. Who We Are
Nomotic, Inc. (“Nomotic,” “we,” “us,” or “our”) provides a behavioral control plane for AI agents — runtime governance infrastructure that evaluates and governs agent behavior during execution. Our principal place of business is in the United States.
3. Use of the Services
3.1 Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.
3.2 Permitted Use
You may use the Services for lawful purposes, including evaluating, integrating, or building on the Nomotic SDK for your own applications. The Nomotic open-source SDK is subject to its separate license terms in the project repository.
3.3 Prohibited Use
You agree not to:
- Use the Services in any manner that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Services or related systems
- Reverse engineer, decompile, or disassemble any non-open-source portions of the Services
- Use the Services to develop or support AI systems intended to cause harm
- Scrape, harvest, or otherwise collect data from the Services in an automated manner without prior written consent
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Transmit any malicious code, viruses, or other harmful software
4. Intellectual Property
4.1 Our IP
The Nomotic name, logo, “Behavioral Control Plane™” trademark, website content, documentation, and proprietary software components are owned by Nomotic, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of our IP.
4.2 Open Source SDK
The Nomotic SDK is released under an open-source license (see the GitHub repository for the applicable license terms). Your use of the SDK is governed by that license, which is separate from these Terms.
4.3 Feedback
If you provide suggestions, feedback, or ideas about the Services (“Feedback”), you grant Nomotic a non-exclusive, worldwide, royalty-free license to use that Feedback for any purpose without compensation to you.
5. Third-Party Services and Links
The Services may contain links to third-party websites or integrate with third-party platforms (such as GitHub, PyPI, or AI frameworks). We do not control those third parties and are not responsible for their content, policies, or practices. Links do not constitute endorsement.
6. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Nomotic does not warrant that:
- The Services will be uninterrupted, error-free, or secure
- Any defects will be corrected
- The Services are free of viruses or harmful components
- The results obtained from using the Services will meet your requirements
AI governance is a rapidly evolving field. The Nomotic SDK is a tool to support governance — it does not guarantee any particular outcome in your AI system.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMOTIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00) OR THE AMOUNT YOU PAID NOMOTIC IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full.
8. Indemnification
You agree to indemnify, defend, and hold harmless Nomotic and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
9. Modifications to the Services and Terms
We may modify these Terms at any time. We will update the “Last Updated” date at the top of this page. For material changes, we will make reasonable efforts to provide notice (such as by posting on the website or contacting you by email if we have your address). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
We may also modify, suspend, or discontinue any part of the Services at any time without liability to you.
10. Termination
We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, if we believe you have violated these Terms or for any other reason. You may stop using the Services at any time.
Sections 4, 6, 7, 8, 11, and 12 survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for IP infringement or misappropriation. The arbitration shall take place in Orange County, California.
If you are a consumer resident in a jurisdiction where mandatory local law provides you rights that cannot be waived by arbitration agreement, those rights are not affected by this clause.
12. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and any applicable open-source license, constitute the entire agreement between you and Nomotic.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- No Waiver. Failure to enforce any right does not constitute a waiver of that right.
- Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
- Language. These Terms are written in English. Any translations are provided for convenience only.
